Terms of Service

These Terms of Service and Client Agreement (“Terms”) govern access to and use of the website, portal, applications, communications, and related services offered by Predictor LLC (“Predictor,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms and acknowledge the risk disclosures, privacy policy, and all other policies incorporated by reference.

1. Regulatory Status

Predictor LLC is an introducing broker operating under applicable CFTC and NFA rules. Unless expressly stated otherwise in writing, Predictor does not hold customer funds, clear customer transactions, or act as the customer’s futures commission merchant (“FCM”); clearing and custody functions, where applicable, are performed by our designated FCM and other third-party service providers. NFA rules impose separate obligations on IBs, including supervision, recordkeeping, and disclosure responsibilities.

2. Relationship With Our FCM

Your trading account may be opened with, carried by, and/or cleared through a third-party FCM or other carrying firm, which may impose its own account agreement, margin policy, commissions, liquidation rights, order routing practices, and operational rules. Where there is any conflict between these Terms and the FCM’s account documents as to matters within the FCM’s control, the FCM’s account documents may govern those matters to the extent permitted by law.

3. No Advice

Predictor does not provide investment, legal, tax, accounting, or personalized trading advice unless we expressly agree in writing and are permitted to do so. Any market commentary, educational material, examples, performance data, or communications are for informational purposes only and must not be treated as a recommendation, offer, or solicitation to enter any transaction.

4. Eligibility and Authority

You must be at least the age of majority and legally able to enter into a binding contract. If you are acting for a company or other entity, you represent that you have authority to bind that entity and that all beneficial ownership, control, and authorization information provided to us is complete and accurate.

5. Account Opening and Verification

We may request and verify identity, source of funds, beneficial ownership, tax information, trading experience, financial information, and other information needed for onboarding, regulatory compliance, AML review, sanctions screening, and ongoing monitoring. We may reject, delay, restrict, or close an account at any time if information is incomplete, false, inconsistent, or otherwise unsatisfactory.

6. Risk Disclosure

Trading swaps, futures, options, leveraged products, and other exchange-traded or OTC products involves substantial risk and is not suitable for all investors. You may lose some or all of your money, and losses may exceed initial deposits where permitted by law and product terms. You should not trade unless you understand the nature of the products, the risks involved, and your exposure to fast-moving markets.

7. Margin, Liquidation, and Calls

You are responsible for maintaining required margin at all times and for monitoring your positions and account equity. Your FCM or Predictor, if authorized by the FCM arrangement and applicable law, may issue margin calls, impose trading restrictions, and liquidate positions without prior notice if margin requirements are not met or if risk conditions require action.

8. Orders, Execution, and Communications

You are responsible for all orders, instructions, and account activity initiated through your credentials, authorized representatives, or approved communication channels. We and our service providers may rely on instructions we reasonably believe are authorized, and we are not responsible for losses caused by market movements, system latency, connectivity failures, or transmission errors except to the extent liability cannot be excluded by law.

9. Market Data and Platform Use

Access to market data, software, mobile applications, APIs, and other tools may be subject to separate licensing, subscriber, and usage restrictions. You may use such materials only for your own permitted use, and you may not redistribute, scrape, reverse engineer, or exploit them without written permission.

10. Fees and Charges

You agree to pay all commissions, fees, exchange charges, clearing charges, market data fees, financing charges, and other amounts disclosed to you by Predictor, the FCM, the exchange, or any third-party provider. Fees may be changed with prior notice where required or permitted by applicable law and contract.

11. Promotional Materials and Conflicts

Any promotional material, testimonials, hypothetical performance, or comparisons are provided subject to applicable NFA/CFTC promotional rules and must not be relied upon as a guarantee of future results.

12. Recordkeeping and Monitoring

You consent to the recording, monitoring, storage, and review of calls, emails, chats, text messages, portal activity, and other communications for compliance, supervision, training, security, and dispute resolution purposes, subject to applicable law. We may retain records for such periods as required by law and internal policy.

13. Prohibited Conduct

You must not use our services for fraud, manipulation, spoofing, wash trading, market abuse, money laundering, sanctions violations, or any unlawful activity. We may investigate and take any action we deem appropriate, including blocking access, freezing processing, escalating to the FCM, or reporting to regulators or law enforcement where required or permitted.

14. Third-Party Services

Our website and services may include links to, or integrations with, third-party websites, software, data feeds, and service providers. We do not control and are not responsible for the content, policies, pricing, availability, or acts and omissions of third parties, except where required by law.

15. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, transfer, processing, and disclosure of personal information as required for account administration, compliance, fraud prevention, and regulatory reporting.

16. Suspension and Termination

We may suspend, restrict, or terminate access to the website, platform, or services at any time if required by law, our FCM, a regulator, a market venue, or for compliance, risk, security, operational, or business reasons. Termination does not affect accrued rights, unpaid amounts, or obligations that survive termination.

17. Disclaimers

To the fullest extent permitted by law, the services are provided on an “as is” and “as available” basis without warranties of any kind. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free availability, except where such disclaimers are not permitted by law.

18. Limitation of Liability

To the fullest extent permitted by law, Predictor will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for trading losses, lost profits, lost data, or loss of opportunity arising from or related to your use of the services. Nothing in these Terms limits liability that cannot lawfully be limited.

19. Indemnity

You agree to indemnify and hold harmless Predictor, its affiliates, officers, directors, employees, agents, and service providers from and against claims, losses, liabilities, damages, penalties, and expenses arising out of your breach of these Terms, your misuse of the services, or your violation of law or third-party rights.

20. Complaints and Inquiries

If you have a complaint, error report, or account issue, you must notify us promptly using the contact details below. We will review complaints in accordance with our internal procedures and any applicable legal, NFA, CFTC, or FCM requirements.

21. Governing Law

These Terms are governed by the laws specified in your account agreement or, if none is specified, the law of the jurisdiction in which Predictor LLC is organized, subject to any mandatory regulatory or dispute-resolution requirements applicable to your account, the FCM, or the relevant market venue.

22. Changes to These Terms

We may amend these Terms from time to time by posting an updated version on the website or providing notice through another reasonable method. Your continued use of the services after the effective date of an update constitutes acceptance of the revised Terms.

Predictor reserves the right, at its sole discretion, to amend, suspend, restrict, or withdraw access to any market, product, or feature, in whole or in part, including on a jurisdictional or user-specific basis, in response to changes in applicable law, regulation, regulatory guidance, or internal risk assessments. Predictor does not provide investment, legal, tax, or financial advice. All trading decisions are made independently by users. Access to Predictor is restricted to individuals who are at least 18 years old (or the age of majority in their jurisdiction, if higher). Account approval is subject to eligibility checks, including identity verification and compliance screening. Predictor acts as an Introducing Broker and does not hold customer funds. Customer accounts are carried by a regulated Futures Commission Merchant. Contracts are listed on a regulated exchange and may be cleared through a designated clearinghouse. Products, services, and markets may not be available in all jurisdictions and may be subject to change.
